Filing of AOC-4 and MGT-7A for 2024-25 after conversion of Company into LLP

[Bharat Bhandari]

A private limited company was converted into LLP in March, 2025.

Now while trying to file Form AOC-4 and Form MGT-7A for FY 2024-25, the CIN of the company is disabled and unable to file any form.

Are we required to file Form AOC-4 and MGT-7A for FY 2024-25? If so, how to file the same online and under which provision of Companies Act?

Company return filing is not applicable as the company is now an llp.

So what about the annual compliances for FY 2024-25 being a Company?

Can we presume that after converting into LLP, filing of AOC-4, MGT-7A is not required and the Company is deemed compliant for such annual filing for FY 2024-25 as I have not come across any provision in Companies Act which states Company is not required to file such forms after conversion?

Before converting an company into LLP 

Company must file its Annual filing for the previous closed financial year 

thereafter start the conversion

we have done this recently 

MCA ask the declaration in form 18 itself whether annual filing is completed as on date or not
