How a Company apply STK 2 if reserve & surplus is 25 Lacs

Dear Members,

If a company wants to apply for STK 2 then how can it write off amount standing in Reserve and surplus of Rs. 25,00,000/-

Not possible to file stk 2

The capital and reserves should be represented by accumulated loss or debit in p&l.

No, reserves and surplus can not be written off. 

If you have reserves and surplus, this means your assets are 25 Lakhs plus capital amount. Hence, you can not file STK-2. You will have to go for voluntary liquidation under IBC.

If you have debts then you may pay of them and make the reserves and the capital 0 and then may proceed for the stk. Otherwise volunteery liquidation is the best option.
