Query relating to Strike off Private Limited company

[Surendra Yadlapalli]

Dear professional,

We want to Strike off a Private limited company as 30-04-2020, on which Mca  mentioned in Master data as follows.

ACTIVE Compliance :ACTIVE Non-Compliant

Company status for (for efiling) : Active (Date of Last Agm : 30/09/2019,Date of Balance sheet : 31/03/2019)

Query: is It above company necessary to file first  (E-form Active) INC-22 A second file AOC-4 and MGT-7 for FY 2019-20 and then last to file STK-2 to strike of the above company or Directly we can file STK-2 of the above company?

Please advice necessary action

if there was no turnover in last 2 years than you can file directly STK 2

Thanks a lot for your valuable advice.

For FY 2019-20 - We have no Turnover but only expenses towards filing Roc fee for FY 2018-19 and Audit fee.

For FY 2020-21 - Also we have no Turnover and have only expenses for strike of only.

After considering the above information, your answer will still same as you told yearly that we can go directly stk-2 or differ.  

  

Somewhere that i heard that first finish INC-22A, Aoc-4&MGT-7 for FY 2019-20 and with in 30-04-2020 file STK-2.

 

Please let me clarify me to get out me for this dilemma .

Hi,

As per Rule 25A of the Companies (Incorporation) Rules, 2014 "Provided further that companies which have been struck off or are under process of striking off or under liquidation or amalgamated or dissolved, as recorded in the register, shall not be required to file e-Form ACTIVE:" Hence, the above company mentioned in your question need to  (E-form Active) INC-22 A. Then you may file STK-2 form.

Hi Deepak Ji,

Thanks for your concerns, it resolved , i saw webinar on CFSS 2020 ICSI they told in that first we have to file INC-22A with out additional fee using CFSS-2020 and later we have to file STK-2 by paying normal fee and the same ans also told in the above mail by one of our professional "ishmavel Ji" by mentioning Rule 25A i am  up voting the same.
