Hello,

BEN-2 is for significant beneficial ownership, i.e., indirect holding along with direct holding shall be 10 per cent or more. 

MGT-6 is for beneficial ownership. Even a single share held by a registered member on behalf of someone else will trigger the requirement for filing of MGT - 6.

Means we have to file only one of the two depending upon the case?

Hello,

Mgt-6 aims at direct shareholding while Ben-2 specifically aims at indirect shareholding.

No, even both forms can be filed as per the cases in particular.

Hello,

It depends upon the case. If the indirect holding along with direct holding does not exceed 10%, it's not required to file BEN-2. MGT-6 shall be filed in this case wherever the registered owner is not the beneficial owner.

But if the indirect holding along with direct holding exceeds 10%, then BEN-2 will have to be filed. 

Though if there is no indirect holding but the registered owner is different from the beneficial owner, then MGT-6 will have to be filed.
