Is valuation certificate mandatory for allotment of equity shares at par

Hi,
    Is it mandatory to get valuation certificate if allotment of equity share is at par to the existing shareholders and if the shares were valued previously (one year back)

Not mandatory incase of rights issue.

If wanna to issue at Par then no need to do valuation.

i nowhere read that if issue at par then you dont need valuation certificate. for rights issue, it is not compulsory for other valuation certificate required

Please see section 247 of the Companies Act 2013, (notified w.e.f 18/10/2017) – Regarding valuation of shares and Registered Valuer Rules. It is better to read and understand the legal requirements keeping in view the nature of allotment of shares.

 

Also, it is necessary to consider provisions under Income Tax Act & valuation rules specified under Rule 11U, Rule 11UA, Rule 11UAA and Rule 11UB for various provisions, which cover valuation options in case of various assets including equity shares and other securities.
