Re- Filing of PAS-3 and PAS-4 with ROC

Is it require to submit Form PAS-4 and PAS-5 by filing Form GNL-2 with ROC in event of private placement of equity shares to directors in a private limited company.

PAS-4, 5 to be attached in e-form PAS-3 not GNL-2.

No need to attach PAS-4. Attach PAS-5 with PAS-3, the board resolution & the list of allottees.

1. Can we circulate the Letter of Offer by hand delivery?

2. Is Valuation mandatory even in case if Preference shares are to be issued at Face Value?
