Filing of PAS-4 with MCA

Dear Team,

Can you please guide on the following query :

In case of Private Placement of Shares under Section 42, is Form PAS-4 required to be filed with MCA.

If yes, then within what time and under which Section or Rule.

No. PAS-4 & PAS-5 are no more required since the amendment in PAS rules in August 2018 where the provision pertaining to filing of offer letter has been omitted.

I have one more query with regard to the contents of PAS-4 as follows :

In case of  a private limited company -

a) Date of passing of Board resolution is - 21.06.2022, and

b) Date of passing of resolution in the general meeting, authorising the offer of securities is - 24.06.2022.

Then in such a case, what details should be filled-in, against the following two Items: 

1) The proposed time within which the alotment shall be completed.

2) Proposed time schedule for which the private placement offer cum application letter is valid.

Kindly guide and advise.

Dear Nilesh,

Pls see my replies as follows:

1) The proposed time within which the alotment shall be completed - Refer Sec 42(6)

2) Proposed time schedule for which the private placement offer cum application letter is valid - Special resolution shall be valid for 12 months & an application in Form PAS-4 serially numbered and addressed specifically to the person to whom the offer is made and shall be sent to him, either in writing or in electronic mode, within thirty days of recording the name of such person pursuant to sub-section (3) of section 42.

                     Good morning to all i need a letter format for NOC for a company going to fix same company name to other new company so i need a format letter for NOC for same company name  f.eg:  ABC cotton mills (P) Ltd,   they going to start a new company ABC Industries kindly help me out
