Appointment of directors in Egm

If we appoint a person in an Egm then is there any need of any Board meeting?

If we see act than no.

But in prectical say ither thry are recommended by board or stand their nominations by own or shareholders. And if the second senario than they has to deposit or 1 lac.

And If we see the other aspect agm called by the board only and for that they need to aprove draft notice so it's deemed approval of the board.

So you may appoint in egm no issue.

The director is regularised bt the members,

If the director is appointed in agm/egm than who will regularise him?

No need to regularise, just simply appoint him as director.

Without approving notice of EGM, how can you call EGM? Board Meeting is must to discuss reason for calling EGM, proposal of Mr. X to be appointed as Director and authorising any one of the Director to send Notice calling EGM.
