Re: Section 8 Remarks

Dear all,

While Incorporating a section 8 company, I got some remarks, while others remarks have been rectified, but on one remark, I have some doubt, the remarks is 

"Winding up clause in AOA should be in accordance with the clause x of the E- MOA of section 8 company , as assets of the section 8 company cannot be transferred to the members on winding up, rectify" .

Kindly explain, what to do in this remark.

In case  of a section 8  company, assets in winding up can only be transferred to a company which is having similar objects and cannot be distributed among the members.
