Stamp duty on Share Certificates to be issued in Karnataka

Dear All,

Anyone from Karnataka, need your help please.

Can anyone guide me on stamp duty on Share Certificates to be affixed with  registered office at Mysore, karnataka.

As per Karnataka Stamp Act, it is Re1/- per Rs.1000/- of consideration.

Is stamp duty correct on the basis of consideration or any change .

Further , is franking of share certificates done in Karnataka or we have to affix adhesive revenue stamps only.

If franking done, please inform which bank or how to be done or is any online facility to pay stamp duty for share certificates.

Madam,

The stamp duty on share certificate is 0.1% (as you have already mentioned).

You can get the franking done in the office of the sub-registrar.

Hi Girija,
Stamp duty can be paid at Sub-registrar office or a bank(you need check locally as not all banks are authorised for this) by way of franking or by e-stamp paper. 
Revenue stamps are not available in Karnataka.
Stamp duty is Re 1 per Rs1000 value including premium if any.

Stamp duty on share certificates is 0.1% & share transfer pan India is 0.25% of the transaction amount. In both the cases, the same has to be paid by way of franking.

Hello,

What is the rate of stamp duty on issue of shares at premium in Bangalore, Karnataka?
whether it is at the rate of 0.1% or new rate of 0.005% ?
How to pay the same?

I am considering the new rates while paying the stamp duty. You can either get it franked or buy at an estamp paper

After the circular came on July 2020 for issue of share certificate is equal of every state is 0.005%

Franking is available at very few places like selected sub registrar offices in Bangalore - Banks are not providing such services in Karnataka.

There is no option to buy E-stamp papers online, there are few service providers who can help you to get from cooperative banks or  registrar offices.

Can you share address for Sub Registrar office Bangalore

Also the incorporation date of company was March 2021. Will franking from sub Registrar Bangalore be done normally or need to pay late fee ?

The company has to pay stamp duty within 2 months of date of issuance of share certificate as per KSA.

In case of late fee you have to approach the District registrar Shivajinagar (4th Floor).
The mode of payment shall be accepted through only DD in favour  of "District Registrar, Shivajinagar".

Also note that you have to draft a request letter for franking the share certificates and pay some extra amount if you want the late fee reduced.

Hai

You have to approach the concerned District Registrar, for stamping depending upon the area where the registered office is located.  Some Registrars insist on Affidavit and some dont.  Anyhow please check with them.
