Valuation report for transfer of Shares in Section 8 Company

Please let me know that a valuation report is  mandatory in case of section 8 Company, for transfer of shares at nominal value?

Please share the written replies, under the Income Tax Act, 1961.. as Companies Act, 2013 is silent.

Hi,

It may be required under Sec 56(2)(x) & Rule 11UA to determine the minimum value per share. But if there is no Land in the co., then NAV should be be the minimum value and in that case VR is also not mandatory.
