We seek your guidance regarding the filing of Form DIR-3 for the appointment of a new director in the company.
The company is a Private Limited Company, and all the existing directors resigned from their directorship with effect from 15 March 2025. The outgoing directors have already filed Form DIR-11 for their respective resignations.
We are now in the process of appointing a new director and, accordingly, need to file Form DIR-3 for obtaining the Director Identification Number (DIN). However, while preparing Form DIR-3, the form requires the Digital Signature Certificate (DSC) of an existing director of the company for verification.
Since all the directors have already resigned and there is no existing director on the company's records, we are unable to affix the required DSC and, consequently, are unable to proceed with the filing.
We request you to kindly advise on the appropriate procedure to be followed in this situation so that the company can appoint a new director and complete the DIR-3 filing.
We would appreciate your guidance at the earliest.
