Appointment of Auditor other than retiring auditor

Please suggest, whether special notice would be required to appoint a new auditor in the AGM in place of auditor who was appointed in the casual vacancy?

Thanks for your mail but my case is different. We have already aapointed the auditor to fill the casual vacancy and their office will expire at the agm and we don't want to appoint the same auditor in AGM for 5 year.

Section 139(4) require special notice for not appointing the retiring auditor except the following:-

- where the consecutive tenure of five or ten years is expiring
