Sir,
Partner firm is one of the shareholder in Private Limited Company, now that firm got closed and need to transfer shares to partners as per their ratio.
The Company is asking Partners Resolution for dissolution.

Yes Sir, long back they incorporated with Partnership as shareholder, now they came to know the truth, so they want to change the shares to individual names.

Its now only one way exist,Transfer Shares through SH-4 but its still not valid because Partnership Firm is not personal.
