ALTERATION OF SUBSCRIBER SHEET OF MOA

Dear All,

Is there any way in which we can alter the subscriber sheet of MOA of a Pvt Ltd Company. The share transfer and allotment is done and the transferee is asking for his name to be shown in the subscriber page of the MOA.. Is it possible, in case yes, pl tell me the procedure for the same. 

In case it is not possible, what alternative can i suggest to the transferee?

Subscriber clause can’t be altered. You can show his name on list of shareholders and mgt7 form.

subscibers are those person who creat the Company.  This subscriber sheet can't be alter  just like incorporation date.

once you change capital amount like increase or decrease, you can upload a new subscriber sheet with moa. that is available option only.

Greetings for the day.

Changing the subscription sheet is not possible. 

Therefore, if the shareholders are insisting for the proof you can only do one thing i.e., filing of form MGT-14 with the ROC.

Hi Mr. Karthik R,

Greetings for the day.

You can select Type as registration of Resolution, Mention Date Board meeting Date, Purpose of passing resolution as others under Companies Act, and section you can quote the relevant section of Companies Act, and then resolution subject matter.

Attach Board Resolution for approval of Transfers.

Further to trailing mail please make sure that you are filing the MGT-14 within 30 days from the date of Board Meeting.
