PREAMBLE
WHEREAS, the parties may provide each other with certain confidential
and proprietary business and technical information in connection with
the business purpose described below and each party desires that any
such information which it discloses be kept confidential by the other
party; and
WHEREAS, in consideration of the receipt of such information from the
other party, each party is willing to agree to the obligations set
forth below.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1. The business purpose of the Agreement (hereinafter referred as the
"Business Purpose") is to facilitate the exchange of confidential and
proprietary information with respect to the evaluation of partnering
opportunities between MITSY and EXAPHOTONIC in the area of digital
holographic storage and holographic solutions.
2. As used herein, the term "Confidential Information" shall mean any
and all confidential and proprietary information regarding the Business
Purpose, either of business or technical nature, disclosed by one party
(hereinafter referred to as the "Originator'') to the other party
(hereinafter referred to as the "Recipient") pursuant to this
Agreement.
The parties hereto agree to clearly mark any information material made
available to the other party, which they consider to be confidential
and to reduce to writing any such disclosure. Prior to each oral
disclosure, the Originator shall notify Recipient that the information
should be considered confidential.
3. The parties agree for a period of 5 (five) years after the date
hereof:
a. To maintain in confidence the Confidential Information, so as not to
disclose the same directly or indirectly to any third party using the
same degree of care as the Recipient uses to maintain its own
confidential information; and
b. Not to use, without the Originator's prior written consent, the
Confidential Information except for the Business Purpose.
4. The parties agree to limit access to Confidential Information
receives hereunder to those of their employees who have a need to know
the Confidential Information in furtherance of the Business Purpose.
In addition, the parties may disclose Confidential Information to their
respective directors and professional advisors for use solely in
accordance with the Business Purpose.
Prior to making any disclosure hereunder, the Recipient shall inform
any such other recipient of the confidential nature of the Confidential
Information and of the obligations imposed by this agreement.
5. Exempted from the non-use and secrecy obligation shall be the
following:
a. Information which at the time of disclosure is in the public
domain, or which after disclosure becomes part of the public domain
through no fault of the Recipient; or
b. Information which the Recipient can prove already was in its
possession at the time of disclosure hereunder; or
c. Information which the Recipient can prove that it has rightful
received from a third party, which to the Recipient's knowledge the
third party without breach of any obligation of secrecy is free to
disclose to others; or
d. Information, which the Recipient can prove, is independently
developed by the Recipient without reference to the Confidential
Information disclosed to it pursuant to this Agreement.
6. Notwithstanding the obligations set forth here above either party
may disclosed Confidential Information to the extent necessary to
comply with the requirements of a government agency or any other
applicable law or regulation, so long as the Recipient first provides
the Originator with notice of such requirements and is intent to make
the disclosure to give the Originator a reasonable opportunity to
obtain a suitable protective order.
7. The parties agree that the fact that they are discussing or have
discussed a possible collaboration shall be Confidential Information.
The parties agree that any media releases, public announcements or
disclosures by either party relating to the Business Purpose will be
coordinated with and approved in advance and in writing by the other
party.
8. The parties agree that, upon request of the Originator, the
Recipient
a. Shall destroy or return to the Originator all Confidential
Information received from the Originator under this Agreement in
written or other tangible form, including all copies thereof; and
b. Will destroy all work papers incorporating any Confidential
Information.
9. Although each party intends to provide the other with Confidential
Information relevant to the Business Purpose, this Agreement is not
intended to contain any representation or warranty as to the
completeness or accuracy of the Confidential Information. Neither party
shall have any liability to the other arising from the use of the
Confidential Information for the Business Purpose, unless such
Confidential Information is basis for a representation or warranty
expressly made by the Originator in a separate written agreement.
10. Nothing contained herein shall be deemed to imply or otherwise
constitute the grant of any right or license regarding any Confidential
Information of either party. Nothing contained herein shall be deemed
to require the parties to enter into any subsequent agreements, or to
limit the ability of either party to enter into an agreement with a
competitor of the other party.
11. The Agreement contains the entire and only agreement between the
parties concerning this subject matter. No modification of this
Agreement shall be of any force or effect unless reduced to writing and
signed by the party claimed to be bound thereby.
12. This Agreement shall be governed and construed in accordance with
the laws of Israel. The venue for any disputes arising out of or
regarding this Agreement shall be Tel-Aviv, Israel.
The parties hereto have caused this Agreement to be executed by their
duly authorized representatives on the date below.
