Removal of Director!!

Can anyone tell me the procedure for removal of Director not willing to resignate.

Hi Sonia,

You can go for removal of director by calling EGM at the requisition of shareholders. We have done this but our shareholders were directors as well holding major chunk of shareholding.

Hi Ekta,

Thanks in our case too Shareholders are Directors Also. My point of concern is whether such Director who is being removed if files case towards Company or Director. what will be implication on me being a CS?

Don`t worry you being the employee of the company, no liability shall arose from your part. Since this the management issue. Your job is only to look into the matter i.e. the egm is being convened according to the provisions of Companies Act, 2013. and SEBI if Co. is listed.
