1983-06-12 Board of Trustees Minutes - GROSS v ECKANKAR

QUOTING VERBATIM:

A meeting of the Board of Trustees of ECKANKAR was held by unanimous
consent as of the 12th day of June, 1983.

Trustees Sri Darwin Gross, Sri Harold Klemp, Alan Nichols, Peter
Skelskey, Bob Engel, Gordon Champion, were present. Also present were
Bob Brant, Secretary, and Jan Davidson.

Chairman Alan Nichols called the meeting to order and announced that
a quorum was present.

The Board then discussed the Special Meeting minutes of February 15,
1983. Sri Harold Klemp mentioned that his vote on memberships was
"qualified".

Nichols noted that special meetings under the Bylaws should be held
by conference call with the ENTIRE Board, or by a noticed meeting, or
by unanimous written consent. It WAS AGREED that this procedure would
be followed and that results in writing of the meeting would be sent
to each Board member.

moved by Skelskey, seconded by Champion and unanimously passed with
Davidson abstaining:

RESOLVED: That the resignation of Chris Morris be accepted and that
Jan Davidson be elected as a member of the ECKANKAR Board of Trustees.

Further, a motion was made by Engel, seconded by Skelskey and
unanimously passed with Davidson abstaining:

RESOLVED: That the resignation of Chris Morris as Treasurer be accepted
and that Jan Davidson be elected as Treasurer of the Board of Trustees.

The Board then reviewed the expenditures in excess of $3,000.00 for
the period December 30, 1982 to May 13, 1983.

RESOLVED: That the expenditures in excess of $3,000.00 are hereby approved.

The Board then discussed the signatories on bank accounts. It was moved
by Skelskey, seconded by Champion and unanimously passed:

RESOLVED: That staff should continue to clean up the signature cards on
bank accounts, adding Bob Brant as signatory and removing Don Ginn
and/or Chris Morris as required.

RESOLVED: That the financial report be approved as presented.

The Board then discussed the sale of the Portola Valley property. After
discussion it was moved by Skelskey, seconded by Champion and unanimously
passed:

RESOLVED: That the sale of the Portola property for the amount of
$425,000 less commission be approved.

RESOLVED: That the proposed equipment as listed be approved for purchase:
micrographic storage and retrieval system, typesetter and input terminal,
microcomputer hardware and software, telephone system, and the balance
of start-up costs for the ECKANKAR Africa and ECKANKAR Europe offices.

The adjacent property around the [Sedona AZ - Helen Frye's old property]
Spiritual Site was then discussed. It was moved by Sri Darwin Gross, seconded by Davidson and unanimously passed:

RESOLVED: That counsel proceed as soon as possible with the purchase of
an option on the Bradshaw property in Sedona on the terms outlined,
including a price of approximately $30,000 per acre and the payment of
a non-refundable deposit of $100,000.

Present were Trustees Sri Darwin Gross, Sri Harold Klemp, Alan Nichols,
Peter Skelskey, Bob Engel, Gordon Champion, Jan Davidson and Bob Brant,

Next the Audit Committee and its function were reviewed. After discussion
it was moved by Skelskey, seconded by Engel and unanimously passed:

RESOLVED: That Jan Davidson, as the new Treasurer, would be added to the
Audit Committee replacing Chris Morris.

Next Dharma Aircraft Ltd [later known as Glen Eden Press] was discussed.
After discussion it was moved by Skelskey, seconded by Davidson and
unanimously passed:

RESOLVED: That Dharma Aircraft Ltd be renamed to work with other income
producing sources for ECKANKAR, and to hold copyrights on ECKANKAR books
and discourses.

RESOLVED FURTHER: That ECKANKAR Certificates of Deposits [ie funds in
term bank accounts/CDs] not required for current operations of ECKANKAR,
and as convenient, be transferred to the new Dharma corporation for its
OPERATIONS AND SAFEKEEPING.

[Note: Much of those CD funds were from Life-Time memberships accumulated
over the prior decade and more ]

It was decided to schedule the next Board Meeting during the weekend of
September 17-18, 1983, in Las Vegas. The AUDIT Committee meeting is to
be scheduled for LATE August, 1983, so that results could be available
prior to the Board meeting.

The meeting was adjourned at 9:55 A.M. on June 13, 1983.

& July 83] up to the Oregon organization, this corporation, which was a
baby corporation [legally and wholly owned by] from ECKANKAR which was
set up, $2.6 million, 260 thou, 2 million 600 thousand dollars was moved
up there, specifically against the advice of myself and the board members.

And he moved it anyway.

[Note: That is a TOTALLY FALSE statement by Klemp. No funds were transferred
post the Klemp and/or Skelskey meeting in July 10/11 in Holland "advising"
Gross to Stop all Transfers. Fund transfers had already been effected PRIOR to
that meeting which Klemp and & Skelskey did not know about, because THEY never
checked at the Office, nor asked Gross directly about it. They only said "no
more." They did not request that they be REVERSED either.]

And it was to a corporation that had no ties legally to ECKANKAR. In other
words it was setup as a gift from ECKANKAR to this corporation which has
no membership. And this is what we came and got back. And we couldn't get
it back at first. Well, (long pause) and I can't even touch on alot of this
stuff."

[Note: That is a TOTALLY FALSE statement by Klemp. That Dharma/Glen Eden Press
Corporation was incorporated as having ONE Shareholder, being ECKANKAR Corp,
which was 100% controllable by The Eckankar Board of Trustees.

This may come as a surprise to people but Darwin Gross had been extremely busy
for over a decade, and in particular AFTER he was forced to both take up the
Position of President/CEO of Eckankar when KLEMP resigned WITHOUT NOTICE in
April 1982, plus at that same time the BOARD specifically requested GROSS to
also take on the role of FULL TIME OFFICE MANAGER again due to all kinds of
problems in the office and with STAFF.

All these changes and matters are recorded in the Minutes of Meetings from
January 1982 through June 1983, at which time the Office had been restructured,
staff sacked and other hired to replace them, whole departments abolished, and
new ones created, plus a huge decision to relocate the International Office
back to Las Vegas from Menlo Park.

On top of that the REASON that Funds were moved to Oregon was also due to
SAVINGS on TAXES and Banking charges and better Interest rates etc. When those
Certificate of Deposits matured something HAD TO BE DONE WITH THE FUNDS
IMMEDIATELY. It was not like a personal savings or business bank account. They
were TERM DEPOSITS, similar to Commercial Bills.

Therefore the discussions in multiple Board meetings prior to the passing of
Resolutions Unanimously to transfer those funds to Dharma Aircraft Ltd. was, or
SHOULD have been already well known about and why the decision was taken.

If Harold Klemp was incapable of understanding this COMMON business practice
then that is of his OWN DOING, his ow incompetence in the roles he held, and
has nothing to do with Darwin Gross.

THOSE FUNDS did NOT go into a Personal bank account of Darwins. If he wanted
to STEAL $2.6 million or more, he could have done so a hundred times and sent
the money to the Bahamas, the Virgin Islands or a numbered Swiss Bank Account
he owned. But that never happened - the Funds were transferred to a bank
Account owned by ECKANKAR Corp. That is precisely HOW and WHY they "got the
money back" .... it NEVER really LEFT. It was never stolen by anyone, let alone
Gross. It is a complete FABRICATION FROM BEGINNING TO END.

The land at Shalishan, Glen Eden property and the buildings there in Oregon was
100% OWNED by ECKANKAR. Darwin did not personally own a fucking thing or any
Real estate himself or in his own name. Bar the shirt on his back perhaps, and
KLEMP wanted to take that from him too probably!

Just because all the I's were not dotted, and Ts were not all crossed regarding
the paper work is IRRELEVANT .. that was the normal status of ECKANKAR business
practices all the time since Twitchell was alive as an incompetent Director of
a Corporation ... he knew nothing about such things unless someone else told
him. FACT. Same goes with Klemp, the man knew NOTHING about these kinds of
things but was really good and listening to 3rd pr 4th hand information and
insane OFFICE GOSSIP from fools like Joan and Chris Morris who had a chip on
his shoulder over Gross.

Meanwhile Gross was also super busy relocating his home and personal belongings
from Menlo Park to Oregon in June 1983, plus preparing to fly to Europe for 2
weeks, and in the middle of all that he still ensured the Office ran properly
and made sure the FUNDS were transferred as DIRECTED by the Board of Trustees
in the June 12 meeting.

I suggest that Harold Klemp was an utterly naive, gullible and incompetent
fool, who lacked the integrity or the manly gonads to even speak with Darwin
Gross for MONTHS about anything Klemp was concerned about or the BULLSHIT
that others had told him. He was an immature Chicken Little jumping at shadows in a state of terminal Paranoid delusions!

Skelskey and the rest of the Board were no better! Marman was no better back
then either, but luckily he never sat on the Board.

In my opinion, Klemp has not improved one bit since then. Nor Skelskey or Marman, or the conga line of Trustees who have passed through that Board
since 1983. But that's another story entirely!

None were ever investigated or interviewed by law enforcement officer, or any
other Government authorities, nor were any ever charged with any Offense,
Felony, or for failing in their legal and moral duties as a Director or as an
Employee of the Corporation.

FACT: that is the whole truth of it, right there in a nutshell.

No accusation that was ever made against them, by anyone from Klemp down, has
ever been proven in a Court of Law, Civil or Criminal, Federal or State.

NEVER !

So the most likely question arising from all this could be:

"Well, if that is so, then how come Darwin Gross lost his Civil Case
against ECKANKAR in 1985, because it was finally dismissed by the Federal
Court Judge?"

Hey that's a great question!

The reason is because Darwin Gross lost the case on a minor legal technicality.
Something that he himself had contributed to, and so he also contributed to the loss.

Gross' case was only about one thing -- seeking to have Lifetime Employment
Contract honored by the Corporation. That being a retirement income, home and
other benefits for Life.

That was ensured for him, whether he still had a "job" to do in Eckankar or not.

That was the standard basis of the AGREEMENT with the Board of Trustees, and it
had been that way since circa 1971 when he first took on his responsibilities.

It all came down to one simple thing - The Board and Gross never 'technically'
had his new 1982 Lifetime Employment Contract ratified officially and legally
implemented and put into 'effect'!

The reason is this was a new contract specifically because he had raised Klemp
to the position as the new LEM in 1981, and the Boards decision earlier in 1981
to change the Bylaws to reflect the requirement that the LEM must also be the
President and CEO of the Corporation. This when Gross was still the LEM.

Because of these two things occurring, by the time Klemp was made LEM in October
1981, then Darwin's employment contract was no longer reflecting the real
changes in his role. So new Employment Agreements had to be created for both
Darwin and Klemp to reflect the new reality.

It was never about Gross hiding anything about his salary or his contract,
beyond the usual privacy issues regarding anyone's Employment Contract and
Salary details. The new contract simply never went through the required
'formal' process of being signed off and passed as a Resolution by the Board
or any other Officer of the Corporation.

Why is that?

Simply, because the REALITY kept changing from Oct 1981 onward. The Corporation
Bylaws were eventually legally processed post Oct-81, and before Jan 1982 when
Klemp was Voted in as the new President and CEO.

So everything was set up by then, and at that Board meeting in January 1982
discussions were had about both Klemps and Gross' Employment Contracts to be
revised as soon as possible and ratified, iow finalized and put into legal
effect. That never happened.

For, unfortunately for Darwin, at some point his pre-existing Employment Contract
became null and void. Why? Because Gross was no longer the LEM or the President.
The contract lost it's legal effect, and this point was critical in the Court's
eventual judgement. Had that prior Employment Contract still been in effect, then
Gross would have won the Civil Court case against ECKANKAR hands down.

Therefore Gross had been working as an 'employee' and 'Trustee' without any
Contractual protection from Jan 1982 all the way through to August 1983.

The work was done on the two new contracts, when time permitted, but then in
April 1982 Klemp suddenly resigned as President. Everything was turned upside
down, yet again.

This was accepted by the Board, and Gross was requested to replace him
immediately, which he did. Though it was NOT what he wanted by accident or design.

So at this point again both non-ratified employment contracts became Null
and Void by default anyway. They needed to be redone all over again.

That of course took time, and was always a low priority. What was the #1
Priority for Gross and the Board and the Office staff, and the Legal help was
keeping the wheels turning in the ECK Office, amid much change, stresses, and
challenges and there was more than enough to do already.

Each individual staff members own employment contracts, such as Chris Morris',
always took precedence too as far as time was concerned, but even those were
processed very slowly. Still every one got paid, and everyone was treated AS IF
their Employment Agreements had the power of legal effect anyway.

Surely that was the right and proper thing to do. How could anything else be
seen as appropriate and ethically sound than to honor the spirit of all such
agreements even if they had not be legally signed off perfectly?

But here is the rub, because despite all that, Darwin got on with the work he
was given or took on, and he still got his NEW salary and benefits anyway. It
was a minor piece of "paperwork" that fell through the cracks in a busy Head
office and a very busy Board of Trustees schedule.

Most likely it is because he and everyone else were always TOO BUSY they kept
postponing it. The right people couldn't get together at the same time to
discuss the details or sign off on it, or get the documents to the full Board
meeting as was the requirement to legally put the contract into effect.

Plus I suspect most kept forgetting all about Gross' Employment contract
needing to be finalized, Gross included. No doubt about it, he would never
have thought it would be so important down the track.

There is certainly no record anywhere of Klemp or Skelskey raising the
importance of this issue in the Board meetings and insisting this get done
properly and in a timely basis. For example part of the Contract related to the
employee becoming partially or permanently disabled and unable to continue his
job duties, of moving into retirement, and what happened if he resigned. But
there was nothing in there about if he was terminated by the Board.

No one would have expected that kind of thing to happen, as Gross was a fully
fledged long term ECK Master after all, and he had a great job up to this point.
The Corporation and the teachings and membership growth was doing very well
overall. It was functioning quite OK, despite massive growth in the
preceding decade.

Who would had predicted he would ever get fired on the spot?

Now, Chris Morris as an example, didn't have his employment contract formally
ratified properly either for almost a year. But he still got paid too.

So rather than abide by the SPIRIT of the Law/Contract, under Klemp the
directive was to do anything possible to not HONOR that Contractual Agreement
if a "legal technicality" or anything else could be used to block that
agreement being enforced, which is what Gross was asking for through the
Courts.

Why did Gross take it to court? Simple, from August 1983 no one would talk
with him about it. Despite repeated requests for meetings and communication
about the issue, his salary was cut almost immediately on his termination,
and then a week after the Oct 1983 seminar, all payments and all benefits
were cancelled outright. Plus he was given 7 days notice to quit living at
the Corporation owned property in Salishan (Glen Eden) Oregon.

On top of this all kinds of complex legal issues were swirling over the
"truck", bank account funds, Twitchell's archive of manuscripts and writings,
and many other issues. His secretary Bernadette Burlin was likewise out of
a job too.

Remembering in all of this drama, that Darwin Gross had willingly taken on
the Role of the Mahanta, the living ECK Master from Sept 1971. He worked
himself into ill health and exhaustion, stepped up to the plate repeatedly
especially when it became obvious Klemp was way out of his depth and
incompetent as President/CEO/Trustee or even turning up to work in the
Office like any other normal person would.

Darwin worked 24/7 365 days a year from 1971 to August 1983, and was left
destitute and in debt, and with his reputation and self-esteem shattered by
the time Klemp and ECKANKAR was finished with him.

Ever heard of a "personality clash"? Seriously it doesn't take two to
tango it really only takes one. Still, in any "marriage" or "relationship"
neither party can really ever accept anything more than 50% of the blame
and in this case, Klemp claimed he held ZERO % responsibility for what
happened, but that Gross was 100% at fault.

That is absolute rubbish put out by a dysfunctional Trustee & President,
and a very paranoid and mentally unbalanced one at that. Plus an incredibly
incompetent one at his own duties as a Trustee on the Board. He was useless
as tits on a bull, as is a common saying in some quarters.

On top of that he was pressured to act by the letter from Patti Simpson
Rivinus who, supposedly on behalf of the 8ths, had demanded of Klemp, with
threats of action if he refused, that Gross be terminated, or else.

Team Eckankar!

Here is the REALLY LOWEST ACT OF ALL though.... Klemp, Skelskey, the Lawyers,
eg ESLER & Co., and many others in ECKANKAR have ALWAYS known this. And never
told the truth about it to this day. Their sworn testimony is clearly
questionable and evasive, and not credible.

Including when they were giving Depositions Evidence Under Oath in this Court
case during 1984-1985, and other matters proceeding through into the 1990s.

Now the FACT is, Harold Klemp, also had been provided with basically the EXACT
SAME EMPLOYMENT CONTRACT as Darwin Gross had, but which reflected the different
duties at that time, and as they changed through 1982.

Yes, the Salaries were different, but so was the WORK and the EXPERIENCE that
each brought to the table.

As at August 7th 1983, KLEMP's LIFETIME Employment Contract had also NEVER
BEEN OFFICIALLY RATIFIED by THE BOARD either!!!

It took MONTHS for that to finally be validated and LEGAL Under the Law AFTER
Gross was terminated.

It too was Null and Void, and so legally it did not exist the day that Gross
was terminated by the "Board" at Klemp's personal insistence only. Without
anyone hearing Gross side of the story, and extremely limited, mainly hearsay
gossip based reports, being used to justify his immediate termination to the
Board members.

One of the biggest and untrue gossip stories was that Gross was planning a
schism in Eckankar, and that he was taking 50% of the staff up to Oregon.

One key source for these mythical stories? - Joan Cross (Klemp). She did ok
long term, Gross didn't. Not only were these thing totally untrue, but Klemp
himself has insisted they were 100% True to this day, and that Gross must go.

That's some Mahanta level wisdom and insight right there.

Fact is, the ECKANKAR BOARD of TRUSTEEs, before or after August 1983 could
have sacked Klemp anytime they chose to and there wasn't a damned thing he
could have done about it - if he had sued them in Civil Court KLEMP would have
lost the Case as well!!!

THINK ABOUT THIS ... it is really important.

In fact, it is a CRITICALLY important FACT.

The wise will therefore recognize why all the LIES and SPIN, and THREATS over
all were so necessary in 1983.

Good one Patti Simpson-Rivinus, Gail Twitchell-Gross-Anderson, all the 8ths of
that time, the overly-sensitive gossip heads with the evil tongues wagging, and
all the extremely naive though manipulated Trustees on the Board at that time.

Great Job.

A few years later, Patti Simpson Rivinus and Gail Twitchell totally divorced
themselves from the Organisation run by Klemp. Their favorite anointed son
and ex-Klemp work buddy, Doug Marman, about two decades later, also no longer
supported Klemp either.

Oh what a web we weave when at first we do deceive!

Correction, well that doesn't add up to five.
There was another, DOROTHY MOORE, who was not present at that HI Meeting
on 22nd Oct 1983.

And for the record here, every single one of those 6 x 8th Initiates were
8ths LONG BEFORE Klemp ever became an 8th himself.

Apparently Klemp had rocketed from 7th to a 12th in a little over 6 months during 1981, before being announced as the new LEM in Oct. 1981.

Of course Darwin Gross was catapulted from a 6th to 12th in 3 weeks in 1971.

These two issues in and of themselves should say something very clear about
ECKANKAR, it's doctrines, beliefs, and it's creation. Moreso, it says a lot about the baseless claims of every one of the 3 Living ECK Masters to date.

The 4th will be no different.

And if Marrying Darwin Gross was, according to Gail, the worst mistake of
her entire life, then raising Klemp all the way to LEM in 1981, was surely
the dumbest and worst mistake of Darwin Gross's life... bar none!

His second biggest mistake was not having Klemp TERMINATED as an Officer of
the Board and Employee ACTING as the LEM, soon after April 1982 when it was
abundantly clear to Gross (and many others with intelligence and skill) what
a massive mistake he had made.

His third biggest mistake was not getting a better lawyer in 1983.

His forth was marrying Gail Twitchell.

His fifth was employing Doug Marman at the ECK Office for several years in the 70s.

His sixth was NOT believing what David Lane told him and his staff back in
1980 at a meeting in Menlo Park Head Office. And ignoring what Lane strongly
suggested they do about it.

His seventh, all well and good in hindsight of course, was joining Eckankar
in 1968 after buying and reading IN MY SOUL I AM FREE by the BS artist Brad
Steiger about the other BS artist Paul Twitchell.

But there is a massive conga line of people who made THAT mistake back then and ever since for decades!

btw, a major sign of one's intelligence is not so much about making mistakes,
because everyone does that. It is really about how good their Memory is.

Without a good memory a high operating level of intelligence is impossible.

Judgement is seriously compromised when such a person holds immense power and
management authority over others.

Gross had a very top rate memory and was highly intelligent and effective in
his leadership role for 12 years. Gail, Patti and the rest actually made an
excellent choice.

Sure, she didn't need to marry him, but then again, she didn't need to marry
Paul Twitchell either, but she did.

Everyone makes these kinds of errors of judgment, in hindsight.

No biggy. Being aware of it the real knack that separates the also-ran from
the truly Wise who can separate the BS from Truth.

CORRECTION regarding Bob Brant

"Mr. Bob Brant, Trustee, Corporate Secretary of the Board, and ECKANKAR Head Office Manager. "

Brant was not a Trustee of the Board, but the senior Office management person.
He was the Company Secretary, responsible for Minutes and other matters.

He was also Voted in as a New Signatory for Bank Accounts and the like in
this June 1983 Board Meeting.

Bob Brant was essentially replacing Chris Morris, and Don Ginn, who had
had these and/or similar roles previously.

This change was ongoing part of Darwin Gross' restructuring of the Head Office
management and staff and operations; which was assigned to him as the re-
appointed president/ CEO of Eckankar by the Board by Unanimous Vote in
the April 1982 Board Meeting.

Another matter which occurred in January 1982 was the change of the Bylaws to expand the Board of Trustees from 5 members to 7 members. This was put into
train at the Oct 30th Board Meeting, partly with the bringing in of Klemp as
the new LEM.

Both Klemp and Chris Morris were elected as new Trustees. Klemp was also
raised as President/CEO of the Corporation. Morris elected as the Chief
Financial Officer and Treasurer of the Board.

Remembering that Klemp resigned as President/CEO in April 1982, and Morris
resigned all his positions including Office Management in June 1983, and
he was replaced by Davidson on the Board as Treasurer, and by Bob Brant in
Management, CFO, and as Secretary of the Board.

Also recalling that in all occasions the Votes by the Trustees was
completely Unanimous.
