Hi folks,

The Skullspace board has asked me to run our special election at 6pm
on Tuesday June 23 one week from today. One board vacancy will be
filled.

It is very important that you attend the meeting (in-person or by
video conference) or appoint a proxy to help us meet quorum. (more
below)

The bylaws don't give a lot of detail about the conduct of elections,
other than being very clear that nominations close at the start of the
meeting.

As the election officer, it is my job to handle some of the other
details. I am not on the board and will not be taking this opportunity
to run for the board. Do not ask me to be your proxy, as my job is to
be fully neutral here.

If we have a competitive election, I will be giving unique paper
ballots to each member present.

Showing up is the easiest way to vote, and you don't need to read the
bottom sections on this email!

The paper ballots will have unique codes that allow me to validate
them. I will at no point have any correlation between the identity of
the voter and ballot, I very much do not want to know who you voted
for.

The handling of votes cast by proxies will depend on how the proxy is appointed.

Most proxies should be appointed prior to the start of the meeting.
(see video conference section below)

If I hear by email (mark AT parit DOT ca) in advance that you are
appointing someone as your proxy, I will provide that person a regular
ballot on your behalf. I will need to confirm in advance that the
person appointing a proxy is a valid member. You will be required to
respond to an email sent to your email address registered with
Skullspace, confirming you have appointed a proxy and I will not
simply rely on an inbound email to me alone.

I also have a procedure to handle last minute appointments of proxies
prior to the close of nominations. This approach actually reduces my
workload in the event of a non-competitive election, which is what
usually happens.

If someone claims to be an appointed proxy of a member but is not yet
validated, they will be given a specially marked provisional ballot
and they will need to seal it in a provisional ballot envelope naming
the proxy and member they represent. I will reach out to the member
with the official email address registered with Skullspace and I will
require a reply within 48 hours before I can open the envelope and add
the ballot to the pool.

Regular ballots will be counted right away and we will see if someone
has an insurmountable lead. Even in that case, proxy appointments
leading to provisional ballots will still be validated and an official
result won't be announced until we hear from everybody or 48 hours
passes.

Your attendance by video conference can help us make quorum.

In the event of a competitive election, candidates will probably
address the membership. We'll mic them up with a lapel or headset so
they can be heard well on the conference call.

It is not possible to cast a paper ballot by video conference. If you
are on the video conference and if we have a competitive election you
will be given a chance to appoint a last minute proxy to act on your
behalf and you will have the opportunity to arrange a private channel
for instructions.

Video conference participants will be the only members permitted to
name proxies after the close of nominations.

All other appointments of proxies must happen prior to the close of
nominations at the start of the meeting, either by
* pre-registering and validating their appointment in advance of the meeting
* or by way of an appointment that I will validate in the 48 period
following the meeting and treat as provisional in the meantime

Hey all, I wanted to remind you that today is a special meeting called to fill our vacant board seat. Quorum to conduct business is 15 members, and you can help us reach that by attending online or assigning a proxy.

It's not a whole AGM, so it should be quicker. Standard rules: if there's a single nominee, they'll be acclaimed without a vote.
