Hi Board,

I received my copy of the new edition of Robert's Rules of Order. It's a hefty and rather dry tome, but each section is pretty clear. I have modified the previous month's motion using the language from RONR (12th ed.) 56:66, and updated to the motion language from 4:4. This thing is full of great detail that we sort of but not quite got right. Adopting RONR will definitely help us moving forward.

Question on notice: Citing RNOR

At our August Board meeting, a question was raised as to which version to cite, and how to properly cite it in the bylaws. As the book was last updated in 2011 and this new edition came out literally yesterday, I am comfortable with specifying the exact version and let a future Board update as necessary.

In the front of the frontispiece, it handily has a "CITE THIS BOOK" in a big black bold square that says to cite sections like this:

RONR (12th Edition) 12:67
RONR (12th Edition) 12:7(1)(a)
RONR (12th Edition) 35:10-12

and how to cite a footnote:

RONR (12th Edition) 56:49n1

If this is sufficient detail, I have taken the liberty of updating the previous motion to reflect the RONR's (12th ed.) 12:67 which contains how to adopt the RONR in bylaws, and refer to the new version.

Proposed Motion to formally adopt Robert’s Rules of Order Newly Revised (12th edition)

Motion: “Resolved, that the Foundation is directed to create or update any necessary bylaw or policies that govern Board meetings and any associated informative documents to state that Robert’s Rules of Order Newly Revised (12th ed.) (RONR) are adopted for OWASP Board Meetings and Special Meetings.

Add a new clause to Section 3:

“Section 3.1x ADOPTION OF ROBERTS RULES OF ORDER NEWLY REVISED (12th edition)

The rules contained in the current edition of Robert's Rules of Order Newly Revised (12th ed.) shall govern the Foundation's Board in all cases to which they are applicable and which they are not inconsistent with these bylaws and any special rules of order the Board may adopt. Projects, Chapters, and Committees can adopt RONR for their meetings if they so choose, but it is not required by the Foundation.

The Foundation is directed to add consistent language to all relevant Board governance policies and Board governance informational pages, and provide copies to existing and incoming Board members."

I just realized that I repeated myself in the motion because I didn't close it off. I will repeat the motion here as I intended it to be:
