Purpose of the Ballot FORUM-036: Adopt Invited Experts Policy

This ballot is to establish a formal Invited Experts Policy and corresponding Agreement, drafted by the Forum’s IPR Subcommittee and modeled after the W3C's approach. These documents will enable the Forum to receive input from individuals with unique expertise or academic background who are not affiliated with member organizations, while ensuring transparency, consistency, and compliance with the Forum's IPR Policy. The proposed policy ensures appropriate vetting, limits conflicts of interest, and provides a structured, IPR-safe mechanism for receiving expert contributions on technical matters.

The ballot is proposed by Ben Wilson (Mozilla) and is endorsed by Chris Clements (Google Chrome) and Clint Wilson (Apple).

The Invited Experts Agreement states: Invited Expert agrees to indemnify
and hold CAB Forum harmless from any dispute which may arise from a breach

It also states: In consideration of the mutual promises herein, the
signing Invited Expert agrees on their behalf and on behalf of any
Employer(s) to abide by the terms of the CA/Browser Forum Invited Experts

As a to-be-invited expert, I would think a lot more than twice before
agreeing to indemnify and hold the CAB Forum harmless - personally - from
anything my employer ends up doing, possibly long after I no longer work
there. IPR Section 8.4 particularly stands out as an obligation of the
would-be employer of the would-be Invited Expert, on which the Invited
Expert may have absolutely no influence and yet incurs significant
liability.

Has this possibly come up in the SC, and is there a reason my concern is
not applicable?

Thanks for your comments.

Just to clarify, the indemnification language is actually quite narrow: “Invited Expert agrees to indemnify and hold CAB Forum harmless from any dispute which may arise from a breach of terms of this Agreement.” That means the obligation is triggered only by a breach of the agreement itself — and only by the individual Invited Expert signing the Agreement. So that person signing is in control of the risks of triggering the indemnification provision. The intent is to serve as a clear boundary, putting the onus on the Invited Expert not to breach the terms of the Agreement. Also, as additional context, the Agreement was drafted with the primary goal being the protection of the Forum and its members from potential legal risks, especially around litigation and other disputes and complications stemming from some third party's actions or assertions of IPR. 

The language was reviewed and discussed by the IPR Subcommittee several times, especially by the legal representatives of various Forum members, and the proposed version reflects the consensus of that group. We circulated or discussed earlier drafts -- and provided opportunity for input during the discussion period and prior. Now that we're in the voting period, we generally avoid withdrawing a ballot or revising the text at this late stage--there was ample opportunity during the drafting and discussion phases to propose changes to the language.

That said, we note your concerns. If these concerns become a material issue with invited experts in the future, then the IPR Subcommittee will revisit and discuss the language you are concerned about.  However, at this point, it’s important that we proceed with the current language and finalize the agreement and policy.

I was unfortunately not able to review this during the Discussion Period
due to medical issues and other conflicts, and I do not object to the
language. I was just seeking clarification. Your statement of intent
assuages my concern when it comes to intent; I believe the language itself
could be more clear on this distinction, but at this point I am not
suggesting that the Ballot should be withdrawn or the Policy edited
before coming into effect.

Bylaws Requirements

1. Bylaw 2.3(6) requires:
 * In order for a ballot to be adopted by the Forum, twothirds (2/3) or more of the votes cast by the Voting Members in the Certificate Issuer category must be in favour of the ballot. This requirement was MET.
 * at least fifty percent (50%) plus one (1) of the votes cast by the Voting Members in the Certificate Consumer category must be in favour of the ballot. This requirement was MET.
 * At least one (1) Voting Member in each category must vote in favour of a ballot for the ballot to be adopted. This requirement was MET.
2. Bylaw 2.3(7) requires:
 * A ballot result will be considered valid only when more than half of the number of currently active Voting Members has participated. The number of currently active Voting Members is the average number of Voting Member organizations that have participated in the previous three (3) Forum Meetings and Forum Teleconferences.
  * the quorum was 8 for this ballot. This requirement was MET.
