Thanks for your comments.
Just to clarify, the indemnification language is actually quite narrow: “Invited Expert agrees to indemnify and hold CAB Forum harmless from any dispute which may arise from a breach of terms of this Agreement.” That means the obligation is triggered only by a breach of the agreement itself — and only by the individual Invited Expert signing the Agreement. So that person signing is in control of the risks of triggering the indemnification provision. The intent is to serve as a clear boundary, putting the onus on the Invited Expert not to breach the terms of the Agreement. Also, as additional context, the Agreement was drafted with the primary goal being the protection of the Forum and its members from potential legal risks, especially around litigation and other disputes and complications stemming from some third party's actions or assertions of IPR.
The language was reviewed and discussed by the IPR Subcommittee several times, especially by the legal representatives of various Forum members, and the proposed version reflects the consensus of that group. We circulated or discussed earlier drafts -- and provided opportunity for input during the discussion period and prior. Now that we're in the voting period, we generally avoid withdrawing a ballot or revising the text at this late stage--there was ample opportunity during the drafting and discussion phases to propose changes to the language.
That said, we note your concerns. If these concerns become a material issue with invited experts in the future, then the IPR Subcommittee will revisit and discuss the language you are concerned about. However, at this point, it’s important that we proceed with the current language and finalize the agreement and policy.

Bylaws Requirements
1. Bylaw 2.3(6) requires:
* In order for a ballot to be adopted by the Forum, two‐thirds (2/3) or more of the votes cast by the Voting Members in the Certificate Issuer category must be in favour of the ballot. This requirement was MET.
