ICG BoD meeting minutes -- 2025

Well, I did not quite get them up in the Annual Meeting folder by this past weekend, the file is there now.

__ the Word file name says DRAFT since they haven't been approved.

__ There was a meeting-within-a-meeting during the Documents revision part of the meeting -- Andrew specifically said that I didn't need to take notes for that, but it looked weird to not have something there.  It can be taken out if it's too much.  It's always easier to edit than add.

I’m sorry this is so late. I suggest that you add a note to the minutes stating something like “At this point, in the absence of any objections by the members present, the agenda was paused for a discussion of ______. Following that discussion, consideration of the agenda was resumed.”

The entire point of “committee of the whole” is that the ONLY thing that is minuted is what the committee *chooses* to include as their report when they “rise and report.”

It is, essentially, the general meeting equivalent of an executive session.

Thanks. I did not knw this became a meeting of the committee of the whole. Did it provide any statement for the minutes of the regular session? If not, I would change the proposed first sentence to read “. . . for a discussion by a committee of the whole,” The second sentence could remain unchanged.

Soooooo, I'll have this section read:

Documents Committee Meeting (summary)

LP is now chairing this meeting (within a meeting). KR guides the process through this meeting.

 KR: Entertain a motion for a discussion of the Committee of the whole to discuss the draft documents. We are now in a committee meeting inside the ICG BoD meeting. KR instructs AD that Recording Secretary does not need to document everything said in this meeting. At the end of the Committee meeting, the Committee will rise and report on a single set of documents that will be voted on. The rise and report will create the motion to vote for reissue of ICG Governing Documents.

Sound OK?
