Here's some more details. This version is considerably toned down.
I'm moderately curious what their definition of "diligence" is.

pleased to announce that it has signed a Letter of Intent to purchase 20% of
the fully diluted and outstanding Class A Common Shares of Xogen Power Inc. or
$6,500,000 Cdn. in a combination of cash and Common Shares of Tathacus
Resources Ltd.
Xogen Power Inc., a private Alberta company is developing an ``Advanced
Energy Technology'' which provides on-demand production of hydrogen from
ordinary tap water in sufficient quantities for adaptation to automotive,
industrial and burner tip applications. Tathacus Resources Ltd. and Xogen
Power Inc. will continue development of the residential and commercial heating
applications utilizing the Xogen technology in the Joint Venture announced on
July 28, 1999.
Tathacus Resources Ltd. also announces that it has signed a Letter of
Engagement with Wolverton Securities Ltd. which will initiate a public
offering for a minimum of 2,000,000 and a maximum of 3,500,000 common shares
of Tathacas at a price of $1.00 per share pursuant to a prospectus offering.
The primary use of proceeds from the public offering will be used for partial
payment of the acquisition of the 20% of Xogen Power Inc.

The Alberta Stock Exchange has neither approved nor disapproved the
information contained herein.

the attachment is as follows:

Tathacus has completed it due diligence on Xogen and its technology which
includes:

1. an independent financial audit of Xogen;

2. an independent engineering verification of Xogen's technology including
the
witnessing of a demonstration of an application of the technology; and

3. the compilation of an independent feasibility study which is intended to
fulfil the requirements of Circular No. 12 of the Policies of The Alberta
Stock
Exchange.

Pursuant to Circular No. 8 of the Policies of The Alberta Stock Exchange the
proposed acquisition of 20% of Xogen is considered to be a reverse
take-over.
As such, the transaction is subject to regulatory and shareholder approval.

Xogen Power Inc. has developed a prototype utilizing a process to produce
hydrogen in commercial quantities on demand from untreated tap water
utilizing
a modest input of energy. Xogen has patents pending in on a world wide basis
for the process.

The potential applications for this technology include a fuel source for
internal combustion and turbine engines, electric power generation, and
residential and industrial heating. The technology also has potential
applications for water purification and de-salination.

The economic benefits of utilizing the process include; minimal water costs
and
water volumes, hydrogen burns clean and the only by-product produced is pure
water, no modifications to engine manufacturing infra-structure are
required,
and the hydrogen generator is light weight and portable.

The technical benefits of the process include; low power requirements, any
form
of water may be used including salt water, hydrogen is produced on demand,
is
self-pressurizing and requires little or no storage facility.
