Clarify "I can not upgrade.". Do you mean you can not download and install
the upgrade KB954430 or that the upgrade is being reoffered again and again
after being installed?
I have manage to find a solution for KB954430 in the case of when it is
reoffered.
Let me know which is which.

1. Using Microsoft update I hid KB 954430 so that it was not reoffered
while I found a solution. I hid it because I do not like turning off
automatic update. Turning off the Automatic update would give the same
result. Make sure you remember to turn it back on. :-)
2. Downloaded MSXML4-KB954430-enu.exe from:
3. Deleted MSXML4-KB954430 using Add Remove program in control panel.
4. Installed MSXML4-KB954430-enu.exe by clicking on it.
KB954430 has not been reoffered ever since.
A word to the wise, the same problem might arise every time you repair or
upgrade Kodak Easyshare software. Keep the solution handy. It did happen to
me with KB936181.
It worked for me I hope it works for you. Let me know how it turns out.

Instead of looking under the Windows Security Updates, look under the
Add/Remove Programs list beginning with the first letter of "M" and
you'll probably find it. I missed it the first time I looked for it, and
several other people have also.
Specifically, look for:
MSXML 4.0 SP2 (KB954430)
Try this fix for that particular error:

Most likely, Easyshare will cause a rollback of that update, and set
Windows KB954430 back into update mode, and possibly KB936181 now that
you have uninstalled Easyshare all the way, depending on Kodak's program
removal methods. Install Easyshare and if Windows can't install
KB954430, follow the method quoted further below, and KB954430 should
stay updated. And if Windows won't successfuly update KB936181, you may
have to fix it too. To fix KB936181 have a look at the full message at
the link below:
http://groups.google.com/group/microsoft.public.windowsupdate/msg/9fe4edf7b2f3fde5?hl=en
I have the same problem on Windows Vista Home Premium but don't have Kodak
EasyShare installed. I tried your solution with a little extra steps:
1. Installed sucessfully KB954430 one last time from Automatic Updates,
which also removed the Reminder Icon from the Sytem Tray.
2. Turned off Windows Updates before the Reminder came back on.
3. Deleted MSXML4-KB954430 using Add Remove program in control panel.
4. Restarted myPC.
5. Installed MSXML4-KB954430-enu.exe by clicking on it. (I had previously
downloaded it and savedit on my C: drive.)
6. Installation failed with a Windows Installer error: "Error opening
installation log file. Verify that the specified log file location exits and
is writable."
7. End of error message - no log file name provided nor its location.
8. I had similar results with other downloaded updates, but not all of them.
Some do install sucessfully (KB927978 and KB925672).
Any assistance will be greatly appreciated.

Then why are you reopening this old thread with your Me too! post?
There are plenty of other more recent discussions about this update
some which have even been marked as Answered Questions.

Which doesn't even necessarily have anything to do with the update
you are referring to.
>
> any suggestions?
Search with your error message as a quoted string. Pick one:
(Alt-7 search for
"error opening installation log file"
)
To refine your search you could try using the Answered Questions filter
but be aware that since few posters actually mark the answers they get
this is not a very reliable tool. A better filter for finding threads with
answers in them is to add the string MVP to your search expression.
BTW if this doesn't help please start your own thread with your own
details to prevent a further hijacking of this one.
Good luck
