While KB970238 was released over a month ago (09 Jun-09), KB972260 was only
released on 28 Jul-09 (but I expect that KB969897, also released on 09
Jun-09, had also been failing to install before the 28th).

What anti-virus application or security suite is installed, how long has it
been installed, and is your subscription current? What anti-spyware
applications (other than Defender)? What third-party firewall (if any)?

That's what I'm trying to help you figure out, Robert. Please answer the
questions in my previous reply.

Ignore all those muppets who have replied so far. Your problem is a
classic case of a system with corrupted Windows SoftwareDistribution
Folder which is located here:

C:\WINDOWS\SoftwareDistribution

There is just only one way to fix this:

Reboot your system in SAFE Mode. To do this, shut down your system
and restart it but this time keep pressing F8 function key. You will
eventually get to black screen with white/gray writings on it. Use
your arrow keys to go to the top most item called safe mode.

When you are in Windows, the screen may be unusual but this is
expected. Log on using the Administrator account or a user's account
that has admin rights.

Launch Windows Explorer and go to:

C:\WINDOWS\SoftwareDistribution

Delete everything from this folder. Restart your system in the normal
way and everything should be corrected this time.

Hope this helps.
