Yes, I have worked my way through all the help links and steps and, while they all sound like reasonable possibilities, none of them apply (i.e., none of the issues they describe are present).
I can directly access all the various URLs that I see references to. I have no problems with Windows Update from the underlying Server 2008 installation. I have no problems from a separate x64 Server 2003 beside it. I have no problems from a separate x86 Server 2003 beside that.
I've appended the last chunk of entries that Automatic Updates wrote to the WindowsUpdate log file in case it's of any use.

It appears as if the update server can not communicate in a timely manner with the VM install of WS2003. The issue may very well be that the ActiveX control, wuweb.dll, has not been registered properly. The update server indicates that it is looking for a proxy server, which the 0x80072EE2 appears to represent here, Sandy.
So, check in WS 2003, open Internet Options in Control Panel, Connections, LAN Settings to see if any of the boxes are checked. If so, uncheck them, for the 0x80072EE2 error. To register wuweb.dll, open a Command Prompt then run
net stop wuauserv regsvr32 wuweb.dll net start wuauserv exit
Those are the only 'educated' guesses I can offer you.

I was wondering if any progress was ever made on this issue. I am having almost the same problem, with the twist of having a 32-bit Windows Server 2003 R2/SP2 client that can't get to Windows Update without the 0x80072EE2 errors. I have spent a few hours now going through the various steps, checking the Security settings, clearing the SoftwareDistribution folder, purging the DNS cache and proxy settings, gone through steps at http://www.updatexp.com/0x80072ee2.html , etc...
I can see Windows Update fine, I can download components off the site fine, etc. The only interesting URL I had issues with was https://www.update.microsoft.com/v6/ClientWebService/client.asmx which sent back a 500 error (and error 0x8DDD0010) but I am thinking that's just from accessing the page kind of "mid stream" in the updating process and it was expecting to be passed variables or something.
I am attaching the relevant portions of the windowsupdate.log file in case it helps... I keep thinking it must have something to do with my Hyper-V network settings but everything else seems to work fine, and Windows Update on the host works fine.

I found the solution-- more searching after this post indicated a registry setting was tweaked but the information given was incorrect. Turns out you need to put this in the guest VM's registry: HKLM\SYSTEM\CurrentControlSet\Services\Tcpip\Parameters Value(DWORD): DisableTaskOffload = 1
(the incorrect mention was called DisableTaskOffset which I am putting here in hopes anyone who searches for that will find this as well)
