When you say "Properties", what do you mean?  .dgn files don't have a
simple way of attaching arbitrary attributes the way .shp files do.

As for converting the geometry, that is pretty straightforward.  FME
does most of the work, just remember to set the "allowed geometries"
of your writer to allow you to write the kind of features you are
passing to it.
