Dear Rakhi,

Special resolution is also required if the following two conditions satisfied by your Company :

1. If the paid up capital of the company is Rs. 10 Cr or more and

2. if such salary is related to period on or before 14.08.2014.

Then U need to take members approval and otherwise nothing required except as u mentioned.

we have paid up share capital more than 10 cr but this clause is altered on 14.08.14 i think and 

second this is a case after august

the altered provision is not retrospective effect, prospective from the date of notification.....for your information only.
