If the shares of the pvt ltd company held by 2 LLP, what compliances it requires to do?

You need to identify the SBO at the company level by checking whether any individual in the LLP holds more than 50% contribution, voting rights, or profit share. Such an individual must submit Form BEN‑1 to the company, and the company must file Form BEN‑2 with the ROC..

Dear Sir,

We have one LLP where two body corporates are partners.

ABC is holding 51% & XYZ is holding 49% in LLP

Shareholders of ABC Private Limited

1.  Mr. A - 50%
2.  Mrs. B - 50%

 

Shareholders of XYZ Private Limited

1.Mr. A - 23.34%
2. Mr. B - 23.33% 
3. Ms. C - 23.33% 
4. Mr. D - 15% 
5. Mr. E - 15% 

Do we need to file LLP Ben forms for this. Please advise

Sure, 

1. ABC Private Limited (51% in LLP)

Shareholding pattern:

  • Mr. A – 50%

  • Mrs. B – 50%

To determine indirect holding in the LLP:

  • Mr. A’s indirect holding = 50% × 51% = 25.50%

  • Mrs. B’s indirect holding = 50% × 51% = 25.50%

Since neither individual indirectly holds more than 50% in the LLP, no SBO is identified through ABC.

2. XYZ Private Limited (49% in LLP)

Shareholding pattern:

  • Mr. A – 23.34%

  • Mr. B – 23.33%

  • Ms. C – 23.33%

  • Mr. D – 15%

  • Mr. E – 15%

Indirect holding calculations:

  • Highest indirect holding = 23.34% × 49% = 11.43% (Mr. A) All others are even lower.

Since no individual indirectly holds more than 50% in the LLP through XYZ, no SBO arises through XYZ.


It may be cross-checked.
