Filing MGT-14 for director Interest is mandatory if directors has no interest anywhere

Dear Members,

Whether as per section 184(1) it is mandatory to disclose director interest and file Form MGT-14 if the directors has no interest anywhere in any companies, bodies corporate, firms etc.?

It us mentioned nowhere that if director is not interested then we do not need to submit mgt 14 and most imp this filing is for getting the disclosure if you dont take how will you come to know that interest is not there

In my opinion yes pls take other members view also

Thanks for reply Ritu. But there is also not mentioned anywhere in the Act and Rules that if the director are Nil interest he shall also give his disclosure. As per my understanding as and when interest arise he can give his disclosure in next Board meeting. can we do this?

If a director has no interest to be provided as per MBP-1 then he need not submit the same and you need not file MGT.14 for same, but ask him to give the company list of relatives as per CA 2013. Also if interest arises in future then he needs to give MBP-1 to the company.

Dear Sid, how it come to know in the knowledge of the Company, that the directors are nowhere interest??

Disclosure is required even in case of NIL interest.

Others views are welcome on the same.

The onus for any default in giving any valid interest is on director so if he does not give any disclosure then the Company is at no fault if any RPT is entered into by the Company.

Dear Friends,

Please help on following Query: We have appointed Additional Director on 27/05/2014. Does We have to file Disclosure of Interest of Director Separately?

and  whether it means whenever we appoint a director- we have to file MBP-1 with ROC

because at the time of appointment you must have given the disclosure. if not then you may require.

Yes . The director has to disclose his interest in pursuance of section 184 because nil disclosure is also a disclosure
