SCO NAMES NOVELL'S THOMPSON TO BOARD OF DIRECTORS
R. Duff Thompson is Senior Vice President of Novell's Corporate
Development Group


SANTA CRUZ, CA (January 9, 1996) -- The Santa Cruz Operation,
Inc. (NASDAQ:SCOC) announced today that its Board of Directors
has elected R. Duff Thompson, Senior Vice President of Novell's
Corporate Development Group, to the Board. The announcement
closely follows SCO's acquisition of Novell's UNIX business on
December 6, 1995. As part of that agreement, Novell took a 17%
share in SCO.

Lars Turndal, SCO's chairman of the board, said, "We are pleased
to have Duff join us on the Board. He has a wide range of
expertise and experience in the industry, and will be able to
provide unique insight into Novell's strategy and direction with
regard to SCO and the UNIX marketplace."

As Senior Vice President of Novell's Corporate Development Group,
Duff Thompson oversees the company's corporate partnerships with
companies strategic to Novell's interests. He is also responsible
for directing the company's efforts in the areas of merger,
acquisitions, and investments.

Formerly the executive vice president (Office of the President)
and General Counsel for WordPerfect Corporation, Mr. Thompson
joined Novell through the company's merger with WordPerfect. He
holds both MBA and law degrees from Brigham Young University.
Before joining WordPerfect Corporation in 1986, he was a partner
with the Salt Lake City law firm of Callister, Duncan & Nebeker.

Mr. Thompson is a former chairman of the board of the Business
Software Alliance, the principal software industry association
dealing with software industry issues including copyright
protection and public policy.
