protocol theory, where 85% of the fully compressed dynamic frequency
profile is bound.
( Within VLIW SMP MPP FORTH, the root chip model formula I have effort
to communicate to my good neighbors in Washington for about ten years
now. ( few have reciprocated my invitation for public discourse))
VLIW SMP MPP FORTH is derivative of an "ultimate" "holy grail" "grand
unification" extended stack machine architecture model theory implied
within a frame of fourty years of computerized arithmetic and human
history ( minus ten years of my history).

NON-DISCLOSURE AGREEMENT ON INVENTIONS AND PATENTS

hereinafter referred to as "Confider" and

as "Confidante".
In consideration of information disclosure or
continued information disclosure for Confidante
by Confider, the parties agree as follows:
1. Confidante will or may have possession of or
access to facilities, apparatus, equipment, drawings,
systems, formulae, reports, manuals, invention records,
customer lists, computerized information or other material
embodying trade secrets or confidential technical or
business information of Confider or its Affiliates.
Confidante therein agrees not to use any such
information or material for himself or others, and not
to take any such material or reproductions thereof
from Confider, at any time during or after association
with Confider, except as required in Confidante's duties to
Confider. Confidante agrees immediately to return all
such material and reproductions thereof in his
possession to Confider upon request and in any event
upon termination of association to Confider.
2. Except with prior written authorization by
Confider, Confidante agrees not to disclose or publish
any trade secret or confidential technical or business
information or material of Confider or its Affiliates
or of another party to whom Confider owes an obligation
of confidence, at any time during or after association
with Confider.
3. Confidante shall promptly furnish to Confider a
complete record of any and all inventions, patents and
improvements, whether patentable or not, which he,
solely or jointly, may conceive, make, or first
disclose during the period of his association with
Confider.
4. Confidante agrees to and does hereby grant
and assign to Confider or its nominee his entire right,
title, and interest in and to inventions, patents and
improvements that relate in any way to the actual or
anticipated business or activities of Confider or its
Affiliates, or that are anticipated by or result from
any task or work for or on behalf of Confider together
with any and all domestic and foreign patent rights in
such inventions and improvements. To aid Confider or its
nominee in securing full benefit and protection
thereof, Confidante agrees promptly to do all lawful acts
reasonably requested, at any time during and after
association with Confider, without additional compensation
but at Confider's expense.
5. Confidante agrees that, in the event he accepts
association with any other person or engages in any
type of activity in his own behalf or in behalf of another
person in competition with Confider or its Affiliates
during a period of ________ year(s) following termination
of his assotiation with Confider, he shall notify Confider
in writing within thirty days of the name and address of
such other person and the nature of such activity.
6. Confidante agrees to give Confider timely written
notice of any of his prior agreements or patent rights that
might conflict with the interests of Confider or its
Affiliates.
7. No waiver by either party of any breach by the
other party of any provision of this Agreement
shall be deemed or construed to be a waiver of any
succeeding breach of such provision or as a waiver of
the provision itself.
8. This Agreement shall be binding upon and pass
to the benefit of the successors and assigns of Confider
and, insofar as the same may be applied thereto, the
heirs, legal representatives, and assigns of Confidante.
9. This Agreement shall supersede the terms of
any prior disclosure agreement or understanding between
Confidante and Confider. This agreement may be modified
or amended only in writing signed by an executive officer
of Confider and by Confidante.
10. Should any portion of this Agreement be
held to be invalid, unenforceable or void, such
holding shall not have the effect of invalidating the
remainder of this Agreement or any other part thereof,
the parties hereby agreeing that the portion so held
to be invalid, unenforceable, or void shall, if
possible, be deemed amended or reduced in scope.
11. This agreement shall be binding upon and
inure to the benefit of the parties, their successors,
assigns and personal representatives.
