All I know is what's been announced officially, but as other
respondents have noted, the deal is going forward. It's subject to the
approval of Frame's shareholders, and before that to Dept. of Justice/
SEC oversight. As an Adobe employee, I'm not supposed to comment about
the process, nor could I say anything relevant about future product
plans (except, perhaps, to note that another poster quoted a news
release as positioning PageMaker and Frame Maker as complimentary
rather than competing).

Electronic Publishing Leader to Add Technical Publishing Products and
Strengthen Its Presence in the UNIX Market
Mountain View, Calif., (June 22, 1995) (Nasdaq: ADBE) - Adobe Systems
Incorporated today announced a definitive agreement to acquire Frame
Technology Corporation (Nasdaq: FRAM) through an exchange of common
stock of the two companies. With the acquisition, Adobe extends its
leadership in technologies and products that support creation, delivery
and access of information. Seventy percent of Frame's technical
documentation software sales are to the UNIX market. The combined
companies represent $725.6 million in revenue based on the last four
quarters.
Under the agreement, 0.52 shares of Adobe will be exchanged for every
share of Frame. The transaction is a pooling of interests that will
qualify as a tax-free reorganization. Based on Adobe's June 22 closing
price and Frame's outstanding shares, the transaction has a value of
approximately $500 million.
"It is our intention to manage this transaction to be non-dilutive in
the first full year of the combined operations," said John Warnock,
Chairman and CEO, Adobe Systems Incorporated. "The acquisition is sound
from both a financial and strategic perspective. We are very excited
about what this can do for us and our customers in desktop and
electronic publishing," continued Warnock. "Our products are
complementary, not competitive. The combination will enable us to
create better, more versatile solutions. In addition, it provides
Adobe products with an improved presence in the UNIX market; and, the
Frame products will benefit from Adobe distribution in Macintosh and
Windows markets, as well as internationally.
Adobe PageMaker, for example, is optimized for documents with high
graphic content on Macintosh and Windows platforms. In contrast,
FrameMaker focuses on text-intensive technical documentation created on
UNIX platforms. The combination positions Adobe to create even stronger
solutions for both PageMaker and FrameMaker customers."

Adobe and Frame well. It enhances our technology, and provides the
broadest, most competitive line of product and services in the
electronic document marketplace," said L. George Klaus, president and

Adobe shareholder approval is not required. Frame shareholders will vote
on the
acquisition at a meeting anticipated in September 1995. The transaction
is
subject to customary closing conditions. Once the transaction is closed,
the
operations of Frame will be integrated into Adobe, not run as a separate
unit.
