Benefits of the Capitalization Program:

*Independent project consultant fees apply and are billed separately. The funding group (Lender) cannot and will not require equity from the project. However, the project and the independent consultants may negotiate compensation in the form of a fee, equity, or a combination of both.

Eligible projects: Resorts, hotels, casino, golf course, timeshare, condo, Energy projects, oil and gas, coal and alternative energy projects; debt consolidation, cruise lines, mining, business expansion, and manufacturing.

Capitalization Program Overview: We are pleased to introduce a unique Capitalization Program for businesses and projects that have substantial financing needs. The limited availability of capital has created a predatory market for financing, with hedge funds and other traditional funding sources, if they are prepared to provide new capital at all, typically requiring an excessive equity stake in financing new projects, along with onerous loan terms.

 

As an alternative, the Capitalization Program is a unique and verifiable financing solution, offering highly attractive loan terms for businesses and projects that qualify. We are now accepting introductory discussions with business or project principals. To qualify for discussion, the entity or project must demonstrate strong economic potential with the ability to develop net revenues at a level well exceeding prospective annual debt service requirements within two to three years of funding.

 

The Program raises funds via Private Placement of an asset-backed debt instrument. The program offers two levels of financing:

 

The Micro Capitalization Program offers an eighteen (18) year term for projects requiring from $38 million to $50 million.

 

The Large Capitalization Program offers terms ranging from ten (10) years to thirteen (13) years for projects requiring funding over $50 million. While the Large Capitalization Program has no practical funding limit, projects over $300 million may require two or more separate funding tranches.

 

Either level of the Capitalization Program may offer a three year payment holiday whereby the first three years of debt service payments can either be spread evenly through the remainder of the repayment term, or deferred to the end of the repayment term as a single flat balloon payment (no additional interest cost).

 

The program offers the potential for full funding for business expansion, merger and acquisition, project development, property acquisition, construction, equipment, working capital and reserves.

 

How the program works: Upon approval of the project for the program and payment of appropriate sponsor fees, an asset-backed private debt instrument (bond) is created and sold to the public as a private placement issue. The asset that backs the bond is a Senior Life Settlement Bundle comprised of polices issued by AA+ rated insurance companies commensurate with the funds needed to ultimately retire the bond; known as ‘the asset pool’. The asset pool repays all principal and one-half (50%) of the interest required on the debt instrument. The project repays the remaining (50%) interest due over the life of the bond. The project must be able to demonstrate positive cash-flow by year three to be able to cover the annual debt service obligation. The firms that participate in structuring the program are well known and respected in their fields (legal, risk analysis, underwriting, SLS aggregation and bond counsel) and will be disclosed upon execution of NCND’s by the project management. Typically, the process will take from three to five months depending on the amount of funding required.

Micro-Cap Program

 

·         $38MM to $50MM

  • 18 year term

  • Approximate annual payment =$3.2MM for 18 years on $50MM*
  • Sponsorship fees: Out of pocket fees, $350,000 to 450,000 for legal, underwriting, asset aggregation, bond counsel, bond underwriting, etc.
  • Retainers and fee payments discussed by project directly with specialists
  • All fees incurred are reimbursed by the program at the time of funding

Large-Cap program

 

·         $50MM and larger

  • 10 year loan term
  • Approximate payment of $1.6MM per $1MM of proceeds over 10 years*
  • First three years payments deferred
  • Sponsorship fees: Out of pocket fees $575,000 to $750,000 for legal, underwriting, asset aggregation, bond counsel, bond underwriting, etc.
  • Retainers and fee payments discussed by project directly with specialists
  • All fees incurred are reimbursed by the program at the time of funding
