Those processes are associated with the License Manager (recalling a post I saw from Chris Cox) and should close down when you exit out of PS CS2...although taking a bit longer to do so.

Open Task Manager with nothing else running. Press Alt+Print Screen. Open Photoshop and press Ctrl+N. Select Clipboard. Ctrl+V to load the image of the Task manager. Save this image to your desktop.
Every time you use Photoshop, open this image and keep it visible in your workspace.
Photoshop will run just as efficiently (or not) as before. But you will work more efficiently because simply glancing at the nicotine patch will give you that warm fuzzy feeling as you go about the task in hand. <g>
