From my prior experiences, I wouldn't bother going into detail about PHP5's additional features or technological differences. Try to explain to them that software is an investment, just like people or equipment, and their investment needs an overhaul. Maybe explain to them that PHP 6 will soon become the mainstream and it will be must easier to stay on track if they ever want it upgraded in the future as well. Perhaps an analogy... You have a stock broker that only sells stocks that were available between 2000 and 2004. Anytime you want to buy stock, you have to get what was available back then, even though there are much better companies now that could make you a lot more money. Are you going to stick with that broker or are you going to find one that can provide better investments?
Sometimes you have to stretch a little... some people just don't see the bigger picture.

first of all thanks for your reply,
Yes, migration will happen on the same server/host, things that you have mentioned are true no doubt about that
but my problem is I am not getting enough exciting points that should excite my client so as to make a change, I hope you are getting my point.. Can you provide me with some links or literature where I can find things in details. Suppose if i am your client what would you say as my existing application is working properly in php4. I am all confused as I have already stated what you have told they need a major reason to change.
In anticipation of your reply.
